Judges, defense lawyers, prosecutors, probation officials and, of course, accused persons themselves must recognize that much more is at stake in a criminal prosecution than the court-imposed sentence. Even minor offenses trigger serious and potentially life-altering statutory and regulatory penalties. These so-called 'collateral consequences' are scattered throughout statutes, regulations, and municipal ordinances. They are difficult to find, and are too frequently ignored during plea negotiations and at sentencing. When it becomes apparent how many opportunities and privileges have been lost as a result of a conviction there may be little the convicted person can do about it. For this reason, collateral consequences have become an increasingly important part of civil practice areas as diverse as employment, government contracts, civil rights, immigration, housing, and family law. Allen Berger, 1999 August 2001 Large and foreign-owned institutions may have difficulty extending relationship loans to informationally opaque small firms. Bank distress does not appear to affect small business lending, although even small firms may react to bank distress by borrowing from multiple banks. Consolidation of the banking industry is shifting assets into larger institutions that often operate in many nations. Large international financial institutions are geared toward serving large wholesale customers. How does this affect the banking system's ability to lend to informationally opaque small businesses? Berger, Klapper, and Udell test hypotheses about the effects of bank size, foreign ownership, and distress on lending to informationally opaque small firms, using a rich new data set on Argentinean banks, firms, and loans. They also test hypotheses about borrowing from a single bank versus borrowing from several banks. Their results suggest that large and foreign-owned institutions may have difficulty extending relationship loans to opaque small firms, especially if small businesses are delinquent in repaying their loans. Bank distress resulting from lax prudential supervision and regulation appears to have no greater effect on small borrowers than on large borrowers, although even small firms may react to bank distress by borrowing from multiple banks, despite raising borrowing costs and destroying some of the benefits of exclusive lending relationships. The commercial lending industry is always changing and in many ways is subjective in how items are considered for a loan. But, I promise that this book will provide you a solid foundation to move forward in the loan process. This book is an attempt to make the process easy to understand, and at the same time provide a sufficient guide to walk you through every step. It is being written in plain English, like I was sitting across the table from you. I am intentionally trying to avoid terms which only bankers will understand, and I am intentionally not going into details which you will not need to be concerned with. I am also writing this book in a brief version that could be read in a weekend. I know your time is money, and I dont want to waste it. This book is not written, however, as a guide for larger loan transaction (those over $10 million). The focus of this book is to aid small business owners and the professionals that serve them. Also, it is intended to be an aid, but not a Band-Aid. In other words, dont try to use this book to cover up problems or deceive lenders. Deception or fraud to lenders is the worst thing you can do. It will waste everyones time, and could place you in a position which you will regret later. The best thing to do is always be of full disclosure. Find the right loan program, find the right lender, complete the paperwork, and move on to success. It can be as easy as 1, 2, 3 Lending is an art, and this is my interpretation. Borrowers are encouraged to look at all options and available sources. In my quest to be a productive member of the lending and business community, I am genuinely hopeful that this book will be beneficial for you, with these intentions in mind.
